FD Technologies plc has confirmed it is in advanced discussions with TA Associates Management, L.P. regarding a possible acquisition. The confirmation follows recent movements in FD Technologies’ share price.

Cash and Share Offer
According to the company, it has received several non-binding proposals from funds managed by TA Associates. The most recent was submitted on 24 March 2025. This proposal involves a possible cash offer of £24.50 per share for the entire issued and to be issued share capital of FD Technologies. The proposal also includes an unlisted share alternative.
As of 25 April 2025, FD Technologies has 22,102,739 shares in issue. Based on the proposed offer price, the deal would value the company at approximately £541.5 million.
FD Technologies stated that if a firm offer is made on the same financial terms, and subject to agreement on other conditions, its Board would be inclined to recommend the offer to shareholders.

No Certainty of Final Takeover Offer
However, the company noted that there is no certainty a firm offer will be made. It added that a further announcement will be provided if and when appropriate.
TA Associates must announce a firm intention to make an offer or withdraw its interest by 5.00 p.m. on 4 June 2025. This deadline may be extended with the consent of the UK Panel on Takeovers and Mergers.
TA Associates can make a lower offer if the FD Technologies Board agrees, if another bidder offers less, or if FD Technologies plans a reverse takeover. In the event FD Technologies pays any dividend or other return of value to shareholders, TA Associates may reduce the offer price accordingly. It also reserves the right to alter the structure or composition of any future offer.
